This page sets out important legal and regulatory information regarding our structure, operations, and regulatory relationships within the United Kingdom.
1. Corporate Structure & Regulatory Oversight
A. 1808 Aum (“1808”)
We originate, develop, manage, and monetise intellectual property and strategic assets across the media, technology, and entertainment sectors. This includes project development, studio operations, licensing, rights management, and direct asset creation. All commercial activities are conducted through our UK-registered LTD Company.
Note: 1808 is not authorised or regulated by the Financial Conduct Authority (FCA) and does not directly solicit investment capital or provide investment advice.
B. Regulated Investment Manager
All investment-related activity is conducted through a third-party FCA-authorised investment firm (the “Fund Manager”). The Fund Manager is responsible for:
Regulatory Compliance: Adhering to applicable FCA requirements, including Know Your Customer (KYC), Anti-Money Laundering (AML), investor categorisation, and suitability assessments.
Fund Structuring: Formation and administration of compliant investment vehicles (e.g., SEIS/EIS funds, venture capital vehicles, special purpose vehicles (SPVs), or investment trusts).
Capital Deployment: Making investments into the Asset HoldCo and affiliated project SPVs.
The Fund Manager operates independently and assumes all responsibilities in relation to regulated investment management and fundraising activity.
C. Investor Access
Investors do not invest directly into 1808. All investments are made through the regulated investment structure.
Investment routes include:
High-Net-Worth Individuals (HNWIs): Often via SEIS/EIS-compliant funds.
Institutional Investors: Typically through fund-style structures aligned with their mandates.
Retail Investors: May be eligible via FCA-approved crowdfunding platforms or collective investment schemes, subject to appropriate safeguards and disclosures.
2. Capital Flow & Ownership Model
Investor capital is committed to the regulated fund.
The fund makes equity, convertible, or revenue-sharing investments into the Asset HoldCo or designated project vehicles.
The Asset HoldCo utilises these funds to acquire, produce, and commercialise IP assets.br>
Returns are distributed to investors via profit-sharing, royalties, dividends, or capital events, in accordance with the investment terms.
3. Operational & Legal Separation
To ensure ongoing regulatory compliance:
1808 does not engage in capital raising, investor onboarding, or the provision of financial promotions.
Any marketing or introduction of investment opportunities is managed exclusively by the FCA-authorised Fund Manager or by parties operating under a valid Appointed Representative (AR) or Introducer Agreement.
1808 is compensated for its commercial activities (e.g., IP origination, production management, operational delivery) under formal service contracts or licensing agreements.
We may hold an Appointed Representative or Introducer status under a regulated firm to facilitate compliant activities.
4. Key Legal Documents
The legal framework supporting the structure typically includes:
Shareholder and investment agreements (between the Fund and 1808 or SPVs)
Service and licensing agreements (defining operational and IP monetisation terms)
Introducer or AR agreements (for regulated fundraising relationships)
Co-investment and carry structures (where applicable)
